POSITION PURPOSE
This position manages and handles legal matters within the Home Services, HD Rental (including vehicle, tools, and large equipment), and Enterprise Pro businesses. This role will be responsible for: (i) contract drafting and negotiations, (ii) regulatory and compliance issues; (iii) management of customer product claims, including preparation customer response/denial letters and settlement negotiations; and (iv) minimizing the legal exposure of the Company in all legal matters.
MAJOR TASKS, RESPONSIBILITES AND KEY ACCOUNTABIITIES
- Contract drafting, negotiating, and managing key vendor agreements (distribution, warehousing, supplier buying, strategic partnership, exclusivity, license, sponsorship, and material storage).
- Review legal documents to identify key issues.
- Handles complex legal matters within area of responsibility.
- Supervise and conduct appropriate legal research for all pending legal work.
- Manage outside counsel and other vendors.
- Accurately identify and assess contractual, business, and market risks and opportunities and advise business groups on related strategies.
- Manage special projects or other department or Company initiatives.
NATURE AND SCOPE
- Reports to an Assistant General Counsel
- Direct reports generally include an administrative assistant
- Areas of specialization are general corporate law, commercial transactions, and construction.
ENVIRONMENTAL JOB REQUIREMENTS
Environment: Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
Travel: Typically requires overnight travel less than 10% of the time.

- Under constant pressure to continuously meet tight deadlines, demanding quotas and/or must regularly deal with difficult situations
MINIMUM QUALIFICATIONS
- Must be eighteen years of age or older.
- Must pass a drug test.
- Must pass a background check.
- Must pass pre-employment tests if applicable.
Education Required: The completion of a Juris Doctor and required certifications for practicing law.
Years of Relevant Work Experience: 5 +years
Physical Requirements: Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasion, there may be a need to move or lift light articles.
Additional Qualifications: Strong experience representing wholesale distributors.
Knowledge, Skills, Abilities and Competencies:
- Project management and client service skills, including the ability to work as a team member to maintain project timelines and foster strong relationships with business clients and team members.
- Experience analyzing laws, regulations and contract trends for potential impact on applicable business goals and objectives.
- Proven drafting skills.
- Ability to articulate business needs clearly and accurately and present clear and concise solutions allowing business clients to make strategic decisions.
- The ability to manage outside counsel.
- The ability to work independently on numerous activities and prioritize them while meeting deadlines.
- The ability to confront difficult issues in a professional, assertive and proactive manner.
- The ability to aggressively tackle new responsibilities and initiatives prior to receiving sufficient training
- High degree of oral and written communication.
- Strong analytical skills.
- Proficient in Microsoft Office (Word, Excel, Outlook and PowerPoint).
- Ability to work collaboratively with legal and business colleagues across multiple disciplines.

Hybrid – An associate in a hybrid role blends in-office and remote/virtual working to complete their job duties. An associate may be required to work from a designated Home Depot location on some days, and may work from a virtual/remote location on others. We also refer to this as location – flex.
